WonderMe Terms of Use

Welcome to www.wonderme.co, a professional service that allows university students, graduate students and recent graduates to discover themselves, maintain an online profile, resume and portfolio for displaying and attracting potential employers and recruiters in order to get employment, both permanently and part-time. The WonderMe website, currently located at www.wonderme.co (the "Site") is owned and operated by Dreamio Co., Ltd., a software company with offices at 1/52 Paholyothin 14, SamsenNai, Phayathai, Bangkok, Thailand, 10400 ("us", "we", or "WonderMe"). In these Terms of Use and Privacy Policy (the "Agreement"), users of the Site are referred to as "Users" or "you".

This website of WonderMe (“WonderMe”) is comprised of various web pages operated by Dreamio Co., Ltd.

1. Acceptance of Terms of Use

This website is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein, in addition to the WonderMe, Privacy Policy available elsewhere on this website. Your use of this website constitutes your agreement to all such terms, conditions, and notices. If you do not agree with these Terms, please do not use WonderMe.

WonderMe reserves all rights to change these Terms at any time. Any changes made will be immediately effective upon notice, which we may provide by any means including, without limitation, posting on WonderMe or by electronic mail. For your continued use of WonderMe after such notice means you acknowledged and have all acceptance of such changes. WonderMe reserves the right to modify, suspend, or discontinue WonderMe site and services at any time with or without prior notice to you. And WonderMe will not be liable to you or to any third party should it exercise such rights. WonderMe reserves the right to terminate, restrict or deny your use of or access to the WonderMe site if WonderMe determines, in its sole discretion, that you are or may be engaged in violating these Terms, in addition to any other rights or remedies WonderMe may possess.

2. Eligibility

2.1 Minimum Age

You must be at least thirteen (13) years of age to use the Site or Services, with a parent or guardian’s permission to use this website, or eighteen (18) years of age.

3. Use of the Site or Services

As a user of the Site or Services, you agree to the following:

3.1 Links to Third Party Sites

WonderMe may contain external links to other websites (“Linked Sites”). The Linked Sites are not under control of WonderMe and WonderMe is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. WonderMe is not responsible for any other form of transmission received from any Linked Site. We provide these links to you only as a convenience, and the inclusion of any link does not imply endorsement by WonderMe of the site or any association with its operators.

3.2 Exclusive Use

Your account is for your personal use only. You may not authorize others to use your account, and you may not assign or otherwise transfer your account to any other individual or entity. You are responsible for all activity occurring under your user account and shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of WonderMe, including those related to data privacy, international communications and the transmission of technical or personal data. You shall notify WonderMe immediately of any unauthorized use of any password or account or any other known or suspected breach of security. If you cancel your WonderMe account or it is terminated, all of your profile information may be deleted from WonderMe’s database and removed from public areas of the site.

3.3 Account Security

It is your sole responsibility to keep your account information and password secure. You acknowledge that WonderMe is not liable for third-party access to your account that results from theft or misappropriation of your user name and password.

3.4 No false information

You agree not to provide inaccurate, misleading, or false information to WonderMe or to any other User. If information provided to WonderMe or another user becomes inaccurate, misleading, or false, you will promptly update the information.

3.5 Information or content posted

You are solely responsible, and assume all liability for the information or content you post, transmit, publish, link to, or otherwise make available on the Site or through the Services. You understand and agree that WonderMe may, but is not obligated to, review and delete (without notice) any information or content that WonderMe in its sole discretion determines violates this Agreement, violates the rights of another person or entity, or which might be offensive, illegal, or threaten the safety of others.

WonderMe does not claim ownership of the materials you provide to WonderMe (including feedback and suggestions) or upload or submit to this website or its associated services (collectively “Submissions”). However, by uploading or submitting your Submission you are granting WonderMe, its affiliated companies and necessary sublicenses permission to use your Submission in connection with the operation of their businesses including, without limitation, the rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission and to publish your name in connection with your Submission.

No compensation will be paid with respect to the use of your Submission, as provided herein. WonderMe is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in WonderMe’ sole discretion. By posting or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to post or submit the Submissions, and that your Submission does not violate the rights of any third party. WonderMe is not responsible for the loss, deletion, destruction or modification of any photos or other content you upload, input, provide or submit through this website.

3.6 Prohibited Content

Some areas of the Service may allow Users to post content such as employment qualifications, job descriptions, feedback, comments, questions, and other information ("User Content"). You are solely responsible for your User Content that you upload, publish, display, link to or otherwise make available (hereinafter, "post") on the Service, and you agree that we are only acting as a passive conduit for your online distribution and publication of your User Content. You understand that whether or not such User Content published, WonderMe does not guarantee any confidentiality with respect to any User Content.

The following are examples of the kind of information or content that is illegal or prohibited to post, transmit, publish, or otherwise make available on the Site or through the Services. WonderMe reserves the right to investigate and take appropriate legal action against anyone who, in WonderMe's sole discretion, violates this provision, including without limitation, removing the offending information or content from the Site and terminating the account of the offending User. Prohibited information or content includes, but is not limited to, information or content that, in the sole discretion of WonderMe: (i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (ii) may create a risk of any other loss or damage to any person or property; (iii) seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise; (iv) may constitute or contribute to a crime or tort; (v) contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, or otherwise objectionable; (vi) contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party's trade secrets); (vii) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or (viii) contains any information or content that you know is not correct and current. You agree that any User Content that you post does not and will not violate third-party rights of any kind, including without limitation any Intellectual Property Rights (as defined below), rights of publicity and privacy. To the extent that your User Content contains music, you hereby represent that you are the owner of all the copyright rights, including without limitation the performance, mechanical, and sound recordings rights, with respect to each and every musical composition (including lyrics) and sound recording contained in such User Content and have the power to grant the license granted below. WonderMe reserves the right, but is not obligated, to reject and/or remove any User Content that WonderMe believes, in its sole discretion, violates these provisions. You understand that publishing your User Content on the Service is not a substitute for registering it with the Thailand Department of Intellectual Property, or any other rights organization.

For the purposes of this Agreement, "Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction.

WonderMe takes no responsibility and assumes no liability for any User Content that you or any other User or third party posts or sends over the Service. You shall be solely responsible for your own User Content and the consequences of posting or publishing it. You understand and agree that any loss or damage of any kind that occurs as a result of the use of any User Content that you send, upload, download, stream, post, transmit, display, or otherwise make available or access through your use of the Service, is solely your responsibility. In connection with your User Content, you affirm, represent and warrant the following:

You are at least 18 years of age and have not been previously removed from the Service, or if you are under 18 years of age you are either an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement.

You have the written consent of each and every identifiable natural person in the User Content to use such person's name or likeness in the manner contemplated by the Service and this Agreement, and each such person has released you from any liability that may arise in relation to such use.

Your User Content and WonderMe's use thereof as contemplated by this Agreement and the Service will not infringe any rights of any third party, including but not limited to any Intellectual Property Rights, privacy rights and rights of publicity. WonderMe may exercise the rights to your User Content granted under this Agreement without liability for payment of any guild fees, residuals, payments, fees, or royalties payable under any collective bargaining agreement or otherwise. To the best of your knowledge, all your User Content and other information that you provide to us is truthful and accurate.

WonderMe is not responsible for any public display or misuse of your User Content. You understand and acknowledge that you may be exposed to User Content that is inaccurate, offensive, indecent, objectionable, or inappropriate for children, and you agree that WonderMe shall not be liable for any damages you allege to incur as a result of such User Content.

3.7 No Advertising and Commercial Solicitation

You agree and acknowledge that you will not advertise or solicit any User to buy or sell any products or services through the Site or Services. You also agree and acknowledge that you will not transmit any chain letters, junk, or spam e-mail to other Users. Further, you will not use any information or content obtained from the Site or Services in order to contact, advertise to, solicit, or sell to any User without their prior explicit consent.

3.8 Assumption of risk

You assume all risks when using the Site or Services, including but not limited to all of the risks associated with any online or offline interactions with other Users.

3.9 Reporting of violations

You agree to promptly report to WonderMe any violation of this Agreement by others.

3.10 Refunds

All fees and charges are nonrefundable and there are no refunds or credits for partially used periods, job postings, or messages.

4. Termination by WonderMe

WonderMe may terminate your account at any time for any reason whatsoever. All decisions regarding the termination of accounts will be made in the sole discretion of WonderMe. WonderMe is not required to provide you notice prior to terminating your account. WonderMe is not required to disclose a reason for the termination of your account. Even after your account is terminated, this Agreement still remains in effect. All terms that by their nature may survive termination of this Agreement will be deemed to survive such termination.

5. Proprietary Rights

5.1 Ownership and Proprietary Information

Except for User content, WonderMe owns and retains all proprietary rights in the Site. The Site contains the copyrighted material, trademarks, and other proprietary information of WonderMe, and its licensors. Except for that information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

5.2 Licensed to Posted information and Content

By posting information or content to any public area of the Site, you automatically grant, and you represent and warrant that you have the right to grant, to WonderMe and its Users, affiliates, licensees, and successors, an irrevocable, perpetual, non-exclusive, fully paid-up, worldwide license to use, reproduce, publicly perform, publicly display, and distribute such information or content, and to prepare derivative works of, or incorporate into other works, such information or content, and to grant and authorize sub-licenses of the foregoing. You may terminate the license you have granted to WonderMe by removing or deleting your content. Copies of your content may remain on WonderMe servers until such time as the content is overwritten or otherwise deleted.

6. Copyright Policy

6.1 Prohibition

You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.

7. Trademark

The logos, trademarks, service marks and images displayed on this website are the property of WonderMe or their respective owners. You may not use any of the logos, trademarks or service marks displayed on this website without the prior written permission of the respective owner.

8. Indemnification

You agree to indemnify, defend and hold harmless WonderMe, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) relating to or arising out of (1) your use of or inability to use the Site or Services, (2) any User postings made by you, (3) your violation of any terms of this Agreement, (4) your violation of any rights of a third party, or (5) your violation of any applicable laws, rules or regulations. WonderMe reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with WonderMe in asserting any available defenses.

9. Disclaimer

ALL OTHER CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW BY WONDERME, ITS LICENSORS AND CONTENT PROVIDERS. Some jurisdictions do not allow the exclusion of implied warranties such that the above exclusion may not apply to you. This warranty gives you specific legal rights, and you may also have other rights that vary from jurisdiction to jurisdiction.

10. Limitation of Liability and Actions

10.1 Incidental Damages.

REGARDLESS OF THE FORM OF ACTION OR THEORY OF RECOVERY, IN NO EVENT WILL WONDERME BE LIABLE OR RESPONSIBLE TO YOU IN CONNECTION WITH THE SITE, OR YOUR USE THEREOF, FOR ANY: (A) INCIDENTAL, INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, EVEN IF THEY ARE AWARE OF THE POSSIBILITY OF SUCH DAMAGES; (B) LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOST EXPECTANCY, BUSINESS INTERRUPTIONS AND/OR BENEFIT OF THE BARGAIN DAMAGES; AND/OR (C) DIRECT DAMAGES IN AN AMOUNT GREATER THANFIVE HUNDRED DOLLARS ($500 USD).ANY CLAIM RELATED TO THE SITE MUST BE INITIATED WITHIN ONE (1) YEAR OF THE DATE YOU KNEW, OR REASONABLY SHOULD HAVE KNOWN, OF THE EXISTENCE OF SUCH CLAIM AGAINST WONDERME

10.2 No Liability for non-WonderMe Actions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WONDERME BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SITE SERVICES, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER USERS OF THE SITE OR SERVICES.

11. Additional Terms for Employers

You shall be responsible for abiding by any and all internal policies, procedures and regulations, which are required, by your employer and/or the applicable administrator of your account. You are responsible for maintaining the confidentiality of your employer account, profile and passwords, as applicable. You may not share your password or other account access information with any other party, temporarily or permanently, and you shall be responsible for all uses of your registrations and passwords, whether or not authorized by you.

Employers are solely responsible for their postings on WonderMe. WonderMe is not to be considered to be an employer with respect to your use of the WonderMe Site and WonderMe shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on the WonderMe site. You understand and acknowledge that if you cancel your employer account or your employer account is terminated, all your account information from WonderMe, including saved resumes, network contacts, and email mailing lists, may be deleted from WonderMe's databases. Information may continue to be available for some period of time because of delays in propagating such deletion through WonderMe’s web servers.

A Job posting may not contain:

(a) Misleading, unreadable, or "hidden" keywords, repeated keywords or keywords that are irrelevant to the job opportunity being presented, as determined in WonderMe’s reasonable discretion;

(b) The names, logos or trademarks of unaffiliated companies other than those of your customer save where expressly agreed by WonderMe;

(c) Inaccurate, false, or misleading information; and

(d) Material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 18.

You may not use your WonderMe job posting to:

(a) Post jobs in a manner that does not comply with applicable local, national and international laws, including but not limited to laws relating to labor and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property;

(b) Post any franchise, pyramid scheme, "club membership", distributorship, multi-level marketing opportunity, or sales representative agency arrangement;

(c) Advertise sexual services or seeks employees for jobs of a sexual nature;

(d) Request the use of human body parts or the donation of human parts, including, without limitation, reproductive services such as egg donation and surrogacy;

(e) Endorse a particular political party, political agenda, political position or issue;

(f) Except where allowed by applicable law, post jobs which require the applicant to provide information relating to his/her (i) racial or ethnic origin (ii) political beliefs (iii) philosophical or religious beliefs (iv) membership of a trade union (v) physical or mental health (vi) sexual life (vii) the commission of criminal offenses or proceedings or (vii) age. WonderMe reserves the right to remove any job posting or content from any WonderMe site, which in the reasonable exercise of WonderMe’s discretion, does not comply with the above Terms, or if any content is posted that WonderMe believes is not in the best interest of WonderMe.

If at any time during your use of the WonderMe services, you made a misrepresentation of fact to WonderMe or otherwise misled WonderMe in regards to the nature of your business activities, WonderMe will have grounds to terminate your use of the WonderMe services.
